1. OVERVIEW OF SERVICES

Espring Farm provides an integrated agribusiness platform based in Ngobit, Laikipia, Kenya. Our services include:

  • Land Leasing: Renting ready-to-farm land with existing water infrastructure.
  • Group Farming: Organizing individuals to pool capital for shared farming projects.
  • Crowdfunding: Facilitating community investment in agricultural infrastructure (e.g., water pans, solar pumps) in exchange for fixed returns.
  • Crop Management: Providing technical support, labor, and day-to-day oversight for farming operations.

2. ELIGIBILITY

You must be at least 18 years old and possess the legal capacity to enter into binding contracts under Kenyan law to use our investment or leasing services. By registering, you represent that all information provided is accurate and current.

3. SPECIFIC SERVICE TERMS

A. Land Leasing & Managed Farming

  • Lease Agreements: Specific details regarding acreage, duration, and rent are governed by individual Lease Agreements.
  • Management: Under “Managed” terms, Espring Farm acts as your agent for day-to-day operations. However, biological and market risks (pests, weather, price fluctuations) remain with the farmer/lessee unless otherwise stated in writing.

B. Group Farming

  • Pooled Capital: By joining a group, you agree to pool funds with others. Profits are shared proportionately based on contribution, less management fees.
  • Decision Making: Groups may be “Espring-Managed” or “Self-Arranged.” In Espring-Managed groups, Espring Farm holds final authority on technical agricultural decisions to ensure project viability.

C. Infrastructure Crowdfunding

  • Nature of Investment: Crowdfunding contributions are used specifically for infrastructure development (e.g., 600,000L waterpan, tanks, solar arrays).
  • Returns: Promised returns are typically generated from the rent paid by farmers using said infrastructure. While we strive for consistency, these are subject to the operational success of the farm.
  • No Banking License: Espring Farm is an agribusiness platform, not a bank or regulated financial institution. Crowdfunding is treated as a private commercial agreement for project development.

4. PAYMENTS AND REFUNDS

  • All payments must be made through our authorized channels (M-Pesa, Bank Transfer).
  • Due to the nature of agriculture (where inputs like seeds and fertilizer are purchased immediately), contributions to farming projects are generally non-refundable once the planting cycle has commenced.

5. USER CONDUCT & PROHIBITIONS

You agree not to:

  • Use the website for any fraudulent or illegal purposes.
  • Interfere with the operation of the farm or harass staff/other farmers during site visits.
  • Misrepresent your financial capacity when committing to group projects.

6. LIMITATION OF LIABILITY

Agriculture involves inherent risks including weather patterns, pests (e.g., thrips, blight), and market volatility. Espring Farm shall not be held liable for:

  • Crop failure due to “Acts of God” (drought, floods, etc.).
  • Fluctuations in market prices for produce like onions, tomatoes, or watermelons.
  • Indirect or consequential losses arising from the use of our platform.

7. INTELLECTUAL PROPERTY

All content on https://espringfarm.com/, including logos, text, and farm-specific data, is the property of Espring Farm. You may not republish or redistribute our material without written consent.

8. GOVERNING LAW

These Terms are governed by and construed in accordance with the Laws of the Republic of Kenya. Any disputes shall be subject to the exclusive jurisdiction of the courts in Kenya.

9. AMENDMENTS

We reserve the right to update these Terms at any time. Continued use of the website or services after changes are posted constitutes your acceptance of the new Terms.
